Terms and Conditions
These are the terms (the “Agreement”) governing your attendance at and participation in any ASIDIC, L.L.C. event (the “Event” or the “ASIDIC, L.L.C. Event”). By registering for the Event you agree to these terms, which form a binding legal contract between ASIDIC, L.L.C. (“ASIDIC”) and the registered attendee or participant (“you”). If you are registering on behalf of another individual, it is your responsibility to ensure the person attending is aware of these terms and accepts them. By completing the registration on behalf of another individual you are warranting that you have made the attendee or participant aware of these terms and that they have accepted these terms.
1 Attendee Requirements
1.1. Admittance. Your registration entitles you to individual admittance to the Event for which you have registered. Any and all other costs associated with your attendance (including without limitation travel and accommodation expenses) shall be borne solely by you. ASIDIC shall have no liability for such costs. Attendees should make their own arrangements with respect to personal insurance, along with travel insurance.
1.2. Personal Belongings. Event attendees shall be required to keep their personal belongings with them at all times. ASIDIC accepts no liability for damage to, or loss of, personal belongings. ASIDIC does not accept any responsibility for any loss (including, without limitation, theft) of any property occasioned on our premises or at external venues.
1.3. Use of Likeness. By attending the Event you acknowledge and agree to grant ASIDIC the right at the Event to record, film, photograph, or capture your likeness in any media now available or hereafter developed and to distribute, broadcast, use, or otherwise globally to disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant to ASIDIC includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use or disseminate the media.
1.4. Event Content. You acknowledge and agree that ASIDIC, in its sole discretion, reserves the right to change any and all aspects of the Event, including but not limited to, the Event name, themes, content, program, speakers, performers, hosts, moderators, venues, and time.
1.5. Visa Requirements. Each Attendee is solely responsible for complying with all immigration, customs and legal requirements (including, but not limited to, obtaining an entry visa, permit, or health requirements of any kind) of any relevant authority for entry into the country in which the Event is held and for which you wish to attend. Attendees who require an entry visa should allow sufficient time for the application procedure. Attendees should contact the nearest embassy or consulate to determine the appropriate timing of their visa applications. ASIDIC will not contact embassies and consulates on behalf of visa applicants or provide any other assistance relating to visa issues. In relation to an Event, no exchanges, refunds or substitution of registration will be made due to an Attendee’s failure to comply with such requirements, or his/her inability to obtain (or his/her denial, cancellation, expiration or revocation of) an entry visa or permit, for any reason whatsoever. Each Attendee is advised to review all immigration, customs and other legal requirements for entry into the country in which the Event is held prior to registering for such Event.
2 Prohibited Conduct
2.1. Disruptive Conduct. You acknowledge that ASIDIC reserves the right to request your removal from an Event if ASIDIC, in its sole discretion, considers your presence and/or behavior to create a disruption or to hinder the Event and/or the enjoyment of the Event by other attendees or speakers.
2.2. Compliance. Each Attendee shall comply with all conditions of entry of the local, city, state, and convention centers at which an Event is held (collectively, “Venues”), including but not limited to all fire, safety, and health regulations of the Venues. Each Attendee shall also comply with all applicable federal, state, local and ordinances, as well as any policies and procedures as set forth below or as otherwise notified to the Attendee by ASIDIC.
2.3 Removal for non-compliance. Attendees in violation of such rules and/or who behave in an unsafe or careless manner while attending any Event may be asked to leave immediately and will be held responsible for their actions. Each attendee acknowledges that such violations may result in the attendee being removed from an Event and barred from returning without refund of the attendee’s registration fee. Each attendee likewise acknowledges and agrees that all attendees of the Events have the right to enjoy the Events equally. Disruptive behavior that interferes with the conduct of reasonable business at any Event, or any attendee’s safety or comfort, may result in the offending attendee being removed from the Event and barred from returning without refund of the attendee’s registration fee.
2.4. Photography or Recording Usage by Attendees. Each attendee acknowledges and agrees to not make, create, store, record, transmit, reproduce, broadcast, stream, use, sell, license or otherwise deal in any images, audio recordings, audio-visual and visual recordings unless such use is with the prior written consent of ASIDIC, or such use is solely for the private and personal enjoyment of the attendee and not for any commercial purpose.
2.5. Unethical/Non-Compliant Marketing. ASIDIC reserves the right to deny admission to anyone who engages in or is reputed to engage in unethical or non-compliant marketing practices.
2.6. Right to Cancel. In addition to the requirements and prohibitions set forth in this Section 2, ASIDIC may also exclude any prospective attendee from registering for or attending any Event, in ASIDIC’s sole discretion. Furthermore, ASIDIC reserves the right to cancel, in its sole discretion, any attendee’s registration upon refund of the admission fees paid to ASIDIC; provided, however, that if an attendee is cancelled for violating any prohibition or requirement set forth in this Section 2, ASIDIC may retain all fees paid.
3 Fees
3.1. Payment. The payment of the applicable fee(s) for each Event is due upon registration. If such payment is insufficient or declined for any reason, ASIDIC may refuse to admit you to the Event unless and until such fees are paid, and shall have no liability in that regard.
3.2. Taxes. The fee(s) may be subject sales tax, value added tax, or any other taxes and duties which, if applicable, will be charged to you in addition to the fee(s).
4 Cancellation, Refund Policy and Substitutions
4.1 Cancellation Policy. Registration cancellations received 30 working days prior to the first day of the Event will receive a refund of registration fees less an administration charge of 30% of the registration fee. Cancellations made less than 30 working days prior to the first day of the Event, as well as failure to attend the Event (“no shows”), are liable for the full registration fee. Registration cancellations must be notified in writing via email to ASIDIC, L.L.C. at: [email protected]. All requests for cancellations and/or substitutions must be received in writing. Changes will become effective on the date of written confirmation being received.
4.2 Refund Policy. ASIDIC accepts no liability and will not issue any refund of any and all payments made to ASIDIC if the attendee is unable to attend an Event due to ANY REASON, including, but not limited to, failure to use ASIDIC registration due to illness, acts of God, acts of terrorism, threats of terrorism, loss of employment and/or duplicate purchases, adverse weather conditions, transportation disruptions, or any travel related problems and/or disruptions, Force Majeure, government authority mandate, disasters, threats of disasters, pandemic, threats of pandemic, or other emergencies, any of which make it illegal or impossible for ASIDIC or Venue to provide the facilities and/or services for the Event.
4.3.Substitution and Change Policy. Attendee changes or substitutions may be made to any attendee registration until the first date of the Event. Once you have received your badge on site, it cannot be changed, substituted, or reissued to a different person.
4.4. Organizer Cancellation. ASIDIC in its sole discretion at any time, reserves the right to postpone or cancel (in full or in part) any or all of any Event. Where the Organizer does so, you will receive a 40% refund of the amount of your payment.
4.5. Modification of the Event Program. You acknowledge and agree that ASIDIC, in its sole discretion, reserves the right to change any and all aspects of any Event, including but not limited to, an Event name, themes, content, program, speakers, performers, hosts, moderators, venue, date and time. You further acknowledge and agree that ASIDIC promotes and organizes the Events and other entities (the actions of whom are not controlled by ASIDIC) may elect to cancel, postpone or change any aspect of an Event.
4.6. No Liability. Other than as set out in the Terms and Conditions, neither ASIDIC nor any of its partners, officers, directors, employees, agents or affiliates shall be liable, directly or indirectly, to attendees or any other party under any theory of law (contract, tort, negligence or otherwise), for any loss or damage, whether indirect, direct, special, incidental, punitive or consequential, that is incurred as a result of an Event (or any part of any Event) being cancelled, postponed or changed under any circumstances. ASIDIC provides no warranty, guarantee or promise of any nature regarding the date and time of a particular Event and cannot warrant, guarantee or promise that an Event will not be cancelled, postponed or changed.
5 Registration Confirmation and ASIDIC Updates
5.1. Registration Confirmation. Once you have completed your registration, you will receive your registration confirmation via email. Please ensure that your valid email is entered correctly on the registration form. Be sure to check your junk email box in case any of your ASIDIC email(s) are caught by spam filters.
5.2. Updates and Communications. You will receive essential information for registered attendees electronically at the email address provided on your registration form. In addition, you will also begin to receive the ASIDIC email newsletter, if you were not previously on our mailing list. 6 Privacy PolicyASIDIC, L.L.C., owns and operates ASIDIC Events and is committed to protecting the privacy of its attendees. 7 Intellectual Property
7.1. Intellectual Property. All intellectual property rights in and to the Event, the Event content, and all materials distributed at or in connection with the Event are owned by ASIDIC, its parent company ASIDIC, L.L.C. or the Event sponsors or speakers presenting at the Event. You may not use or reproduce or allow anyone to use or reproduce any trademarks (including without limitation “ASIDIC, L.L.C.”, “ASIDIC”, “ASIDIC Conference” and “ASIDI Conference”) or other trade names appearing at the Event, in any Event content or in any materials distributed at or in connection with the Event for any reason without the prior written permission of ASIDIC.
7.2. Intellectual Property Rights. For the avoidance of doubt, nothing in this Agreement shall be deemed to vest in you any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under license by ASIDIC, L.L.C. or any of its affiliates; nor does this Agreement grant to you any right or license to any other intellectual property rights of ASIDIC, L.L.C. or its affiliates, all of which shall at all times remain the exclusive property of ASIDIC and its affiliates.
8 Disclaimer of Warranties, Limitation of Liability
8.1. Disclaimer of Warranties. ASIDIC gives no warranties in respect of any aspect of the Event or any materials related thereto or offered at the Event and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness, and merchantability. The Event is provided on an “as-is” basis. Neither ASIDIC nor its affiliates accept any responsibility or liability for reliance by you or any person on any aspect of the Event or any information provided at the Event.
8.2. Damages. Except as required by law, neither ASIDIC nor its affiliates shall be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Event or other aspect related thereto or in connection with this Agreement.
8.3. Liability. The maximum aggregate liability of ASIDIC for any claim in any way connected with, or arising from, the Event or this Agreement, whether in contract, tort, or otherwise (including any negligent act or omission), shall be limited to the amount paid by you to ASIDIC under this Agreement.
9. COVID-19 Policies
9.1. Disclaimer Due to the ongoing COVID-19 pandemic, the event organizers reserve the right to cancel or postpone the event at any time. Ticket holders will be notified in a timely manner of any changes and will be offered the corresponding refund or the option to transfer their tickets to a future date. The event organizers will not be held liable for any expenses incurred by ticket holders, including but not limited to travel and accommodation costs. By purchasing a ticket and attending the event, attendees acknowledge and accept this disclaimer and the risks associated with attending a public gathering during the ongoing pandemic.
9.2. Protocols In light of the ongoing COVID-19 pandemic, event organizers have implemented protocols to ensure the safety of attendees. These protocols include, but are not limited to, those protocols required by our venues, which may include social distancing measures, mandatory face coverings, and temperature screenings. By purchasing a ticket and attending the event, attendees acknowledge and accept that they will comply with these protocols and any additional guidelines as required by local health authorities. The event organizers will not be held liable for any illness or injury that may occur as a result of non-compliance with these protocols. Attendees understand that the risk of contracting COVID-19 may still exist in any public gathering and attend the event at their own risk. In addition, please note that the event organizers reserve the right to refuse entry or remove anyone who is found to be non-compliant with the protocols and guidelines in place. By purchasing a ticket and attending the event, attendees acknowledge that they have read, understood and agree to the terms of this disclaimer.
10 Miscellaneous
10.1. Miscellaneous ASIDIC’s failure to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder. ASIDIC shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond ASIDIC’s reasonable control. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sub-licensable by you except with ASIDIC’s prior written consent. This Agreement shall be governed by the laws of the State of Kansas and the parties shall submit to the exclusive jurisdiction of the Sedgwick County courts. A party that substantially prevails in an action brought under this Agreement is entitled to recover from the other party its reasonable attorneys’ fees and costs. Both parties agree that this Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement, and that all modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of this Agreement and you acknowledge that you do not have any authority of any kind to bind ASIDIC in any respect whatsoever.
10.2. Amendments. The Organizer reserves the right to render, in its sole and absolute discretion, all interpretations and decisions in connection with the Terms and Conditions and to establish further regulations binding upon the Attendees as may be deemed necessary to the general success and well-being of the Events and/or any person(s) affiliated therewith. The Organizer’s decisions and interpretations shall be final and binding in all cases.
